BRG purchases environmentally impacted properties while providing a complete transfer of liability. With a proven track record, BRG structures the transaction so that the Seller is protected from future claims while transferring the property and receiving fair market compensation.
Portfolio transactions allow owners to dispose of the least desirable properties by “packaging” them with their higher value real estate. Selling portfolios, which can include both environmentally impacted and unimpaired locations, allows the seller to maximize value, divest troublesome sites and take advantage of relatively lower transaction costs. All of our portfolio transactions have provided sellers with significantly more value than one-off transactions requiring several years and significant effort to complete.
Bankruptcy proceedings under Chapter 7 liquidations and Chapter 11 reorganizations can sometimes involve the disposal of properties with significant environmental liabilities. BRG participates in secured party sales, sales by assignees for the benefit of creditors and bankruptcy trustees, sales under Chapter 11 plans of reorganization, Section 363 sales, and Chapter 7 liquidations.
BRG can assist in the M&A process by purchasing properties with environmental impacts so that barriers are removed from the larger transaction. Alternatively, BRG will assume the environmental liabilities associated with properties, allowing the transaction to proceed.
The most heavily contaminated sites in the United States fall under the superfund program at the state or federal level. Despite this complex level of environmental liability, BRG invests in and assumes responsibility for Superfund sites at a cost below EPA or PRP managed cleanup costs and provides a fixed-cost solution for environmental obligations and uncertainties. In most cases, this approach will result in a more rapid cleanup period than the EPA timeframe. This further results in more rapid redevelopment of an otherwise dormant and unproductive property.
In some cases, owners desire to dispose of properties with significant environmental impacts, but still need space to operate their business. BRG purchases these types of environmentally impacted properties, completes the liability transfer, and leases the facility back to the original owner.
Many public and public/private projects have complex regulatory issues such as environmental enforcement, consent orders, eminent domain proceedings, condemnation and urban blight. BRG has experience with these types of projects and can provide sellers, municipalities and other stakeholders with integrated development solutions when these issues are involved.
